You must be at least twenty-one (21) years of age and a qualified research professional or representative of a research institution to purchase from AZARI. By placing an order, you represent and warrant that you meet these requirements and are legally permitted to receive and handle research compounds in your jurisdiction.

All products are sold strictly for in-vitro laboratory research use only. They are not drugs, food, dietary supplements, cosmetics, or medical devices, and are not intended for human or veterinary use. See our Research-Use-Only Disclaimer for full terms, which are incorporated into these Terms by reference.

All orders are subject to acceptance and product availability. Prices are quoted in U.S. dollars and may change without notice. We reserve the right to refuse or cancel any order at our discretion, including suspected fraud, ineligible purchasers, or pricing errors. Payment is due in full at the time of order.

Shipping is governed by our Shipping Policy. AZARI ships only within the United States. Risk of loss transfers to the purchaser upon the carrier's first scan.

Due to the controlled-temperature, chain-of-custody nature of research compounds, all sales are final once the package has been dispatched. Returns are accepted only when (a) the wrong product was shipped, (b) the product arrived damaged or non-conforming, or (c) the package was lost in transit, in each case subject to the timelines and evidence requirements in the Shipping Policy. Where a refund is issued, it will be processed to the original method of payment, typically within 5–10 business days of approval.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We may suspend or terminate any account that we reasonably believe is being used in violation of these Terms or applicable law.

You agree not to:

• Use, resell, or distribute any product for human or animal consumption.
• Misrepresent your identity, profession, or intended research use.
• Use the site to transmit malware, attempt unauthorized access, or interfere with normal operation.
• Violate any applicable local, state, federal, or international law or regulation.

All website content, including text, graphics, logos, images, product photography, and software, is the property of AZARI or its licensors and is protected by intellectual-property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AZARI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AZARI'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR ANY PRODUCT SHALL NOT EXCEED THE AMOUNT YOU PAID TO AZARI FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless AZARI and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your purchase, use, misuse, or distribution of any product, your breach of these Terms, or your violation of any law or third-party right.

PRODUCTS AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or related to these Terms or any product shall be the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

We may update these Terms from time to time. Continued use of the site or services after changes are posted constitutes acceptance of the updated Terms.
